Terms of Service

1. Agreement to Terms

By creating an account on the GK Setup Portal ("Portal"), operated by GK Setup ("Company", "we", "us"), you ("Client", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not register or use the Portal.

2. Description of Services

The Portal provides an online platform for managing the incorporation process of a Godo Kaisha (合同会社, "GK") in Japan. Our services include:

• Collection and review of incorporation documents and information via an online intake form
• Pre-check and compliance review of submitted information
• Preparation and filing of Articles of Incorporation and related legal documents
• Coordination with our partner Shiho-shoshi Lawyer (judicial scrivener) for company registration
• Post-incorporation support including bank account guidance and tax filing registration

We are not a law firm. Legal document preparation and filing is performed by a licensed Shiho-shoshi Lawyer (judicial scrivener) acting on your behalf. We provide administrative coordination and project management services.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts. You represent that all information provided during registration and the intake process is accurate and complete.

4. Account Registration

You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activity under your account

5. Service Plans and Fees

We offer the following service tiers:

• Standard Plan: ¥380,000 (JPY) — core incorporation services
• Premium Plan: ¥550,000 (JPY) — enhanced services with priority handling
• Customized Plan: Pricing as agreed upon between you and the Company

Fees are split into two installments: 50% due after pre-check clearance, and 50% due before filing. The Company reserves the right to adjust fees for customized engagements.

Our service fee includes the partner Shiho-shoshi Lawyer's incorporation filing fee, the Japanese registration license tax, and Japanese consumption tax. Domestic Japanese GK incorporation does not normally require notarization; no notary fees apply for the standard flow. Charges for notarization or apostille of documents prepared by the Client in their home country (for example, overseas address proof or foreign-issued ID copies) are not included and remain the Client's responsibility. Bank account opening fees, ongoing tax-accountant fees, virtual-address service fees, and other third-party services introduced after incorporation are billed separately by those providers.

6. Payment Terms

Payments may be collected via Square Invoices or bank transfer. For "escrow" funding clients, service fees may be deducted from the capital deposit held in trust. For "direct" funding clients, invoices are issued separately. Failure to pay outstanding fees may result in delays or suspension of services.

7. Client Obligations

You agree to:

• Provide all requested documents and information in a timely manner
• Respond to revision requests and communications within a reasonable timeframe
• Ensure that all information submitted is truthful and does not violate any applicable laws
• Not use the Portal for any fraudulent, illegal, or unauthorized purpose

8. Refund and Cancellation Policy

If you cancel before the pre-check clearance stage, a full refund of any deposit paid will be issued, minus a ¥30,000 administrative fee. After pre-check clearance, the initial 50% deposit is non-refundable as work will have commenced. After filing submission, no refunds are available. Government fees paid on your behalf are non-refundable regardless of cancellation timing.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Company shall not be liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the total fees paid by you for the specific engagement
• We are not responsible for delays caused by government agencies, third-party service providers, or your failure to provide required information
• We do not guarantee any specific timeline for incorporation completion, as processing times depend on government agencies

10. Intellectual Property

All content, design, and software of the Portal are the property of the Company. You retain ownership of all documents and information you submit. By submitting information through the Portal, you grant us a limited license to use such information solely for the purpose of providing our services.

11. Termination

We may suspend or terminate your account if you breach these Terms, provide fraudulent information, or engage in activity that is harmful to the Company or other users. You may request account deletion at any time by contacting us, subject to the refund policy above.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Japan. Any disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court (東京地方裁判所). Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation.

13. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or Portal notification. Continued use of the Portal after changes constitutes acceptance of the revised Terms.

14. Governing Language

These Terms are prepared in Japanese, English, Simplified Chinese, and Traditional Chinese. In the event of any discrepancy or inconsistency between the language versions, the Japanese version shall be the official text and shall prevail. This English version is provided for reference.
